A quorum was declared. Meeting was called to order by Harley Parson.
OLD BUSINESS:
Bill Peck was elected to the board to fill the vacancy of the term of David Law Smith.
Annual Meeting Minutes were approved.

Treasurer’s Report - Tom Foote gave an approximate balance of $11,500. An exact figure wasn’t available due to a blown disc. This is the highest balance in the club’s history. To get our 501c3 designation we have to make sure we don’t accumulate cash, we need to put it back. To do so we need to meet the formulary criteria and our ability to claim contributions as charitable deductions is in question until we get the 501c3 designation. We want to be able to use that $15 annual membership fee as a donation. Deloitte & Touche will give us some assistance on a complimentary basis. Tom stated he believes the process is acceptable so far, that we just need to provide additional explanation.
Tour de Fat - Bob suggested we have announcements made for the benefit of SWIMBA during the event.
It was determined that we need to provide bottled water to riders and next year we will have a contact person to handle this. Checking of bikes was an issue. It was also suggested Sprockids provide a mechanic for bike checks.
Some people requested day care, but it was determined that isn’t an area we want to go into.People were unhappy because they couldn’t take their children into the beer garden. Tom Baskin will find out park rules regarding children in the beer garden.
More change will be needed, we had $200 this year, will need $400 next year. Kristi offered to coordinate volunteers access to free beer next year.
New Belgium was reported to be happy with the outcome. The target date for 2004 is Saturday, 6/5/04. Cycle Idaho - Chris Hahn suggested SWIMBA take it over next year. Mary Law Smith wants to help coordinate it. Chris wants to get a committee started. Bob, Dave Thomas, Chris Hahn, Leslie Tengelson, Tom Baskin and Jerry West are interested.
Discussion was held about how it fits in with our objectives as a 501c3 organization. Bob Roehl said riders this year want SWIMBA to do it, it is a captive audience for two days, we could talk about responsible riding and land use. Chris suggested inviting land managers. Dave Thomas pointed out we would be taking in contributions. Tom said there is an issue of SWIMBA becoming a commercial organization that is not in compliance with our 501c3 purposes.
Fees would include cost of the event and education. Tom stated we definitely would need to spend money on costs, then to trail management, signage, anything directed to our purpose rather than to charitable organizations. The question is how do we spend it, not to generate more money from it. We would need to tie the program into plowing money back into our charter.
Chris Hahn will coordinate a committee to meet and discuss these issues.
NEW BUSINESS:
Gift Certificate - Harley wants to give a $50 gift certificate to the guy who worked on the trailer, Brian Bass. It was approved unanimously.
Board Commitment - The survey was discussed. A board member must be a member in good standing with dues paid and 50% attendance. A board member can be removed by a vote of the members. Consequences of not being a member in good standing include removal from the board. A board member should immediately correct outstanding dues issues if they exist when the board member is elected. Discussion was held regarding assessing the good standing requirements at six months and the end of the year prior to election. Bob and Chris Hahn will make a proposal at the next meeting.
Bob Trailer - Chris Cook stated Jim Schmidt of the BLM has donated a bob trailer to SWIMBA.
Meeting was adjourned.
Davey Moore announced $85 from the Kelly Canyon race.
